Korean Chamber of Commerce Seminar Report (March 5, 2014)

안녕하십니까? Econoworld Agency 15th Intern 김택영이라고 합니다. 지난 3월 5일, Econo 인턴 일동은 저희 선배님이시자 사장님이신 박명근 사장님께서 주신 기회로 Korean Chamber of Commerce Seminar에 다녀왔습니다. 저에게는 이번이 미국에 와서 처음으로 참가하게 된 세미나였는데요, 설레고 기대했던 만큼 알차고 보람찼던 유익한 시간이었던 것 같습니다. 제가 배우고 느낀 만큼 잘 표현해 낼 수 있을지 모르겠지만, 이번 세미나 내용을 글로 요약하여 배우고 느낀 점을 몇 자 적어내려 보고자 합니다.

Section1: 미국 내 및 국제 상거래 분쟁 중재 절차 및 한국계 회사 사례<Progressed in English>

(Mr.Luis M. Martinez, Vice President of International centre for Dispute Resolution)

First Section began with explanation of the reason why International Arbitration is being required. First of all, with trend of global society, number of Commercial trends incurred between multinational corporations are gradually increasing so that disputes among them also incur more frequently than before. it is the main reason for requirement of International arbitration including justice, predictability and confidentiality and so forth.

ICDR Which is International Centre for Dispute Resolution, has a variety of its own Rules, processes, and Ethics for arbitration based on its a lot of experiences. For instance, In terms of the Administration Rules, we can remind UNCITRAL, IACAC, and CANCA rules etc. To arbitrate more clearly, Mr. Luis made focus on some points. Firstly, he suggests more and more communication between parties and arbitrators should be made in time of arbitration so that fair and clear arbitration can be achieved. Secondly, he remind us of several disqualifying Factor we have to be cautious on arbitration like family relationship, ongoing businesses dealing, close social relationship and financial interest.

With trends of increasing number of international commercial dispute, I would like to suggest opportunities for share of information on arbitration have to be made more forwardly.

Section2: 반덤핑 배경과 최근 동향<Progressed in English>

First of all, Anti Dumping is defined like as follows; Protection of Exports by some nations with lower price or cost, taking priority among intranational trades. There has a recent increase in Anti dumping for fair trade. Especially, Korea has used to be frequently targeted in Anti-Dumping, however it has been more focused on China.

Following recent Development of AD, AD for Refrigerator, Transformer, washer, oil country tubular goods, grain-oriented electrical steel, and non-oriented electrical steel have been enacted newly. And, in section337, Individual companies like Samsung and LG will be usually targeted rather than country as a whole.

Summarizing, Korea-US FTA may in fact increase number of AD/section337 case so that Korean companies need to actively prepare for coming AD for their success.

Section3: 미국에 진출한 한국 기업을 위한 미국 공정거래법의 이해.<한국어 진행>

보편적으로 알려진 것처럼, 시장 내에서 몇몇의 기업들 간 형성되는 담합(Cartel)은 해당 분야에서 진입장벽이 생겨나므로 새로운 시장 진출 기업이 생겨 날 수 없게 되고, 그만큼 기업들 간의 경쟁이 저해되어 시장 발전을 막는 가장 큰 요인이라고 할 수 있습니다. 또한, 판매자와 소비자 간의 힘의 균형을 무너뜨려 소비자의 권리를 침해하는 심각한 요인이 되기도 하는 담합을 예방하고 규제하기 위해 현 미국 경제사회에서는 다양한 법규와 기관들을 두고 있다는 것을 알게 되었습니다.

담합이 단순한 미국 경제 사회를 넘어 국제 경제 발전에 끼치는 악영향과 파급효과가 크기에, 그만큼 미국경제사회에서 담합을 경계하고 규제하고 있다는 사실을 알 수 있습니다. 그 법규와 기간들에는 Sherman 법(1890), Clayton 법(1914), 연방거래(FTC) 법(1914), 법무부 반독점국(DOJ : Department of justice), 연방 거래 위원회 등이 있습니다. 배진철 국장님께서는 저희들의 이해를 돕기 위해서 보다 구체적인 사례를 들어 세미나를 진행해 주셨습니다. 예를 들어, AT&T 사의 T-Mobile 사 취득을 막기 위해 Clayton 법의 제 7조 기업 결합규제 조항이 생겨났으며, 제 8조 임원겸임 규제를 통해 Google사 회장의 Apple사 경영진 사임을 요구한 바 있습니다.

우리나라와는 달리 미국에서는 이러한 카르텔 행위가 경범죄가 아닌 형사법으로 다스려지는 중범죄(Felony)에 해당한다고 합니다. 저 또한 이번 세미나를 통해 담합이 경제사회에 끼치는 악영향의 심각성을 새삼 깨닫게 되었으며, 국장님께서 세미나에서 강조하신 것처럼 담합 문제를 근본적으로 해결하기 위해서는 다양한 법규와 제도도 좋지만, 무엇보다 경제인들의 의식 변화가 선행되어야 할 것입니다.
